These Terms of Service form a legal agreement between you and COZY LEDGER SOLUTION LIMITED PARTNERSHIP (also referred to as Goatie.ai, we, us, or our). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Goatie.ai provides software and workflow tools designed to help users create and manage accounting-related documents, process business records, organize files, integrate with Google Drive, and support related business operations.
2. Eligibility and authority
- You must be legally capable of entering into a binding agreement to use the Service.
- If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
- You are responsible for ensuring that your use of the Service complies with applicable laws and regulations.
3. Accounts and access
- You are responsible for maintaining the confidentiality of your account, connected identities, and access credentials.
- You are responsible for activity that occurs through your account or authorized integrations.
- We may suspend, limit, or terminate access if we reasonably believe your use creates security, legal, operational, or abuse risk.
4. User content and business data
- You retain responsibility for the documents, data, images, receipts, invoices, and other content you upload, generate, or connect through the Service.
- You represent that you have the rights and permissions necessary to use that content with the Service.
- You grant us the limited rights necessary to host, process, transmit, store, transform, and display your content solely to provide and support the Service.
5. Acceptable use
You agree not to:
- use the Service for unlawful, fraudulent, harmful, or deceptive activity;
- attempt to gain unauthorized access to any user, account, system, or data;
- interfere with or disrupt the operation, security, or integrity of the Service;
- use the Service to infringe intellectual property, privacy, confidentiality, or other rights;
- reverse engineer, scrape, or misuse the Service except as permitted by applicable law.
6. Google and other third-party services
Certain features depend on third-party services, including Google, LINE, Omise, and Microsoft Azure or Azure OpenAI Service-backed infrastructure. Your use of those integrations may also be subject to the terms and privacy policies of the relevant third party.
- We are not responsible for outages, policy changes, access revocation, or limitations imposed by third-party services.
- If a third-party integration becomes unavailable, affected features may be suspended, modified, or removed.
7. Plans, subscriptions, and billing
Goatie.ai may offer free plans, paid subscriptions, usage-based entitlements, team or seat-based limits, and optional add-ons. The specific features, quotas, user limits, and pricing for your plan are described on the applicable pricing page, checkout flow, invoice, or order confirmation.
- Paid plans may be billed through Omise or another payment provider we designate.
- If recurring billing applies to your plan, you authorize us or our payment partner to charge the applicable fees for each billing cycle until cancellation or termination.
- Fees are generally non-refundable unless required by law or expressly stated otherwise.
- We may change pricing, packaging, feature limits, or plan structure prospectively. Any updated pricing will apply only after notice or as shown at renewal or checkout, as applicable.
- You are responsible for applicable taxes, duties, and government charges unless stated otherwise.
8. No professional advice
The Service is a workflow and software tool. It does not replace independent accounting, tax, legal, or professional advice. You remain responsible for reviewing your outputs, records, filings, and compliance obligations.
9. Service availability and changes
- We may update, improve, suspend, or discontinue any feature at any time.
- We do not guarantee uninterrupted or error-free availability.
- Beta, preview, or early-stage features may have additional limitations and may change without notice.
10. Intellectual property
The Service, including software, branding, interface design, and related materials, is owned by us or our licensors and is protected by applicable intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
11. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided on an as is and as available basis. We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.
12. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities arising from or related to your use of the Service.
To the maximum extent permitted by law, our aggregate liability for claims arising out of or relating to the Service will not exceed the amount you paid us for the Service in the three months preceding the event giving rise to the claim, or one hundred United States dollars (USD 100), whichever is greater.
13. Termination
- You may stop using the Service at any time.
- We may suspend or terminate your access if you breach these Terms, create legal or security risk, fail to pay applicable fees, or misuse the Service.
- Upon termination, rights granted to you under these Terms will end, but provisions that by their nature should survive will continue to apply.
14. Governing law
These Terms are governed by the laws of Thailand, without regard to conflict of laws principles, except where mandatory law requires otherwise.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we may update the effective date above and provide notice where appropriate. Your continued use of the Service after the updated Terms become effective constitutes acceptance of the revised Terms.
